Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Konstant platform and website at konstant.cloud, operated by Konstant Cloud Inc. (“Konstant,” “we,” “us,” or “our”). By accessing or using our service, you agree to be bound by these Terms.

Konstant is an organizational awareness platform that processes signals from connected workplace tools to surface business insights for your organization. The platform is provided as a software-as-a-service (SaaS) product.

The Konstant platform is a business-to-business service. You must be at least 18 years old and authorized to bind your organization to these Terms.

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@konstant.cloud if you become aware of any unauthorized access.

Ownership

Your organization retains all ownership rights to data you provide or connect to the Konstant platform (“Customer Data”). We do not claim any ownership of your data.

Our Use of Your Data

We process Customer Data solely to provide the Konstant service to your organization. We do not:

• Use Customer Data to train public AI models
• Sell Customer Data to third parties
• Use Customer Data for any purpose other than providing and improving the service for your organization

Data Processing

The platform processes signals from workplace tools connected by your organization’s administrator. Insights generated by the platform are derived from your organization’s data and are available only to authorized members of your organization.

You agree not to:

• Use the service for any unlawful purpose
• Attempt to gain unauthorized access to the service or its systems
• Interfere with or disrupt the service
• Reverse engineer, decompile, or disassemble any part of the service
• Resell or redistribute access to the service without our written consent

The Konstant platform, including its technology, design, and documentation, is the property of Konstant Cloud Inc. and is protected by intellectual property laws. Patent claims pending.

These Terms do not grant you any rights to our trademarks, logos, or branding.

We aim to maintain high availability of the platform but do not guarantee uninterrupted access. We may perform maintenance that temporarily affects availability, and we will provide reasonable notice when possible.

To the maximum extent permitted by law, Konstant Cloud Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or related to your use of the service.

Our total aggregate liability for any claims arising from or related to these Terms or the service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

The service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Insights generated by the platform are informational and should not be the sole basis for business decisions.

Either party may terminate the service relationship at any time. Upon termination:

• Your access to the platform will be revoked
• We will delete your Customer Data within 90 days unless retention is required by law
• Provisions that by their nature should survive termination will remain in effect

We may update these Terms from time to time. We will notify you of material changes by posting updated Terms on our website. Continued use of the service after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Any disputes arising from these Terms or the service will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property matters.
